AVB PRECIPRO (OPC) PRIVATE LIMITED Terms and Conditions of Service

1. Introduction and Acceptance

Welcome to AVB GLOBAL EXIM™, the trade brand of AVB PRECIPRO (OPC) PRIVATE LIMITED ("we," "us," or "our"). These Terms and Conditions ("Terms") govern the sale and supply of goods by us to the "Client" (Buyer). By issuing a Purchase Order or engaging in trade with us, the Client agrees to be bound by these Terms.

2. Our Role and Scope

We operate as an Engineering-Led Merchant Exporter specializing in Industrial Tooling, Precision Machined Components, and Abrasives.

Role: We act as the Principal Seller. We procure, verify, and execute export supply contracts as the primary contracting entity.
Scope: Our obligations are strictly limited to the supply of goods as per the agreed Technical Specifications and Commercial Terms defined in the Proforma Invoice (PI).

3. Commercial Engagement

Quotations: All price quotations are valid for 30 days unless specified otherwise. Prices are subject to change based on raw material fluctuations (e.g., steel/carbide indices) prior to Order Confirmation.
Contract Formation: A contract is formed only when we issue a written Order Acceptance or Proforma Invoice (PI).
Incoterms® 2020: All trades are governed by Incoterms® 2020. Risk transfers from Seller to Buyer strictly according to the agreed Incoterm (e.g., FOB, CIF).
Retention of Title: Goods remain the property of AVB PRECIPRO (OPC) PRIVATE LIMITED until full payment is received. We reserve the right to reclaim goods if payment terms are breached.

4. Product Quality & Disclaimer

Conformance: We warrant that goods will conform to the Technical Drawings, Standards, and Specifications agreed upon in the Purchase Order.
Quality Assurance: As an engineering-led exporter, we conduct Pre-Dispatch Inspections (PDI) to verify conformity.
Claims: The Client must inspect goods upon arrival. Claims regarding visible defects must be notified within 7 days of receipt.
Disclaimer of Fitness for Purpose: Unless explicitly stated in writing, we do not warrant that the goods are fit for any specific purpose or end-use application. If the part meets the drawing specifications but fails in the Client's specific machine/application, the Client accepts full responsibility.

5. Limitation of Liability

Liability Cap: To the maximum extent permitted by law, our total liability for any claim is strictly limited to the invoice value of the specific goods giving rise to the claim.
No Consequential Damages: AVB PRECIPRO (OPC) PRIVATE LIMITED shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profit, machine downtime, production stoppages, or third-party claims.
Force Majeure: We are not liable for delays or non-performance caused by events beyond our reasonable control, including Acts of God, war, export bans, customs delays, or political instability.

6. Intellectual Property (IP) & Indemnity

Client Warranty: The Client warrants that any drawings, designs, or specifications provided to us do not infringe on any third-party Intellectual Property Rights (Patents/Trademarks).
Indemnification: The Client agrees to indemnify and hold harmless AVB PRECIPRO (OPC) PRIVATE LIMITED against any claims, legal costs, or damages arising from IP infringement suits related to goods manufactured to the Client’s specifications.
Dual-Use Compliance: The Client certifies that goods purchased from us will not be used for illicit military purposes, nuclear proliferation, or any application prohibited by International Export Control laws.

7. Use of AI & Digital Tools

To ensure speed and efficiency, AVB PRECIPRO (OPC) PRIVATE LIMITED utilizes Artificial Intelligence (AI) tools for preliminary feasibility analysis, language translation, and data processing.

No Reliance on AI Summaries: Any AI-generated summaries or informal descriptions provided during the quoting phase are for convenience only. The Final Approved Engineering Drawing and the Proforma Invoice are the sole legally binding definitions of the product specifications.
Liability Exclusion: We are not liable for minor discrepancies or interpretative errors arising from the use of AI tools, provided the physical goods supplied conform to the agreed Technical Drawings.

8. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Any dispute arising out of or in connection with these Terms or any sale of goods shall be subject to the exclusive jurisdiction of the courts located in Kozhikode, Kerala, India.
